A shareholder revolt over the way the top jobs at Research in Motion areshared between the two top men has been deferred - for now.Currently Jim Balsillie and Mike Lazaridis share the same roles, in a situation which is highly unusual within corporate circles.The shareholder, Northwest & Ethical Investments (NEI) has agreed to dropits proposal that was to be considered at the RIM Annual General Meeting. Theproposal asked that RIM's Board of Directors adopt a policy that divides therole of Chairman and CEO, and that RIM have an independent Chairman.The condition for dropping the proposal being that RIM's Board will establisha Committee of independent directors whose mandate will generally be to studythe appropriate balance between an independent lead director or chair with fulland exclusive authority customarily held by such an office holder.The committee will also determine the business necessity for RIM's Co-CEOS tohave significant Board level titles to assist their selling and otherresponsibilities with certain large customers in overseas markets, and proposeand provide a rationale for a recommended governance structure for RIM, whichwill include clarifications of the Co-CEOs and Chair roles, as well as theBoard's mandate.The Committee will consult with NEI Investments in developing the specificterms of reference for this mandate and before it issues its report by January31, 2012. The Board will publicly respond to the recommendations of theCommittee within 30 days.
